Welcome to the City Lens Affiliate Program.
The program allows approved Affiliates to earn commissions by referring customers to City Lens Digital Products.

Affiliates receive access to tracking information through their Affiliate Account.
These Terms explain commission calculations, referral attribution, payments, promotion rules, and participation requirements.

By joining the Affiliate Program or using an Affiliate Link, you agree to these Terms.

1. PROGRAM OPERATOR
The City Lens Affiliate Program is operated by:

W12 TECHNOLOGIES INC. is referred to as the “Company,” “W12,” “City Lens,” “we,” “us,” or “our.”

A person participating in the Affiliate Program is referred to as the “Affiliate” or “Partner.”

2. AFFILIATE COMMISSION
2.1. Affiliates may earn up to 80% of eligible Net Revenue.
2.2. The exact commission percentage may depend on the Promotional Offer.
2.3. The applicable percentage is displayed in the Affiliate Account.
2.4. Commission is calculated after applicable deductions.
It is not necessarily calculated from the customer’s gross payment.
2.5. For Promotional Offers carrying an 80% commission rate:
80% of eligible Net Revenue is allocated to the Affiliate.
20% of eligible Net Revenue remains with City Lens.
2.6. The percentage shown in the Affiliate Account for the applicable Promotional Offer controls.

3. HOW NET REVENUE IS CALCULATED
Before Affiliate Commission is calculated, applicable amounts may be deducted from the customer’s payment.

These may include:

1. payment processing and acquiring fees;
2. installment or financing service fees;
3. applicable taxes;
4. sales commissions connected with the relevant order;
5. discounts, credits, loyalty benefits, or similar adjustments;
6. chargebacks or payment reversals;
7. other transaction-specific costs recorded against the order.

The remaining amount is referred to as “Net Revenue.”
The Affiliate Commission is calculated from Net Revenue.

Where applicable, payout-related charges may also be deducted.
These may include:

• bank transfer fees;
• payment-provider fees;
• intermediary or correspondent bank fees;
• currency-conversion costs;
• other charges connected directly with the payout.

The Affiliate Account displays the commission calculated by the system.

4. COMMISSION CALCULATION EXAMPLE
The following example is illustrative only.
Assume:
Customer payment: $1,000
The customer pays using a U.S.-issued card.
Applicable transaction costs:

• Stripe payment processing: 2.9% + $0.30;
• Radar Standard screening: $0.05.

Stripe payment processing:
$1,000 × 2.9% + $0.30 = $29.30

Radar Standard:
$0.05
Total transaction costs:
$29.35
Net Revenue:
$1,000 − $29.35 = $970.65

If the Affiliate’s applicable commission rate is 80%:
$970.65 × 80% = $776.52 Affiliate Commission

The remaining amount before the Company’s general operating expenses and corporate income taxes is:
$194.13

This example assumes a U.S.-issued card and no currency conversion.

Stripe may charge additional fees for international cards or currency conversion.

If sales tax, VAT, GST, or similar transaction taxes are collected from the customer, those amounts are excluded from Net Revenue before Affiliate Commission is calculated.
If Stripe Tax or another tax calculation service charges a transaction-specific fee, that fee may also be deducted.

Actual payment processing fees may vary depending on the payment method, card origin, currency, and payment provider pricing.

5. REFERRAL ATTRIBUTION
5.1. The standard referral attribution period is 180 days.
5.2. If a referred customer purchases during this period, the Affiliate may receive commission. The purchase must qualify under the applicable Promotional Offer.
5.3. Referral attribution is tracked through the Affiliate Program system.
5.4. If a customer later follows another Affiliate’s link, attribution may change.
For the relevant order, commission is assigned to the last applicable Affiliate Code recorded before that purchase.
5.5. This last-code rule applies to that specific order.
5.6. The Affiliate Program’s technical records determine attribution.
5.7. A commission is payable only when attribution is recorded successfully.

6. COMMISSION PAYMENTS
Affiliate payouts are normally processed:
once per month
on the:
3rd day of each calendar month.
If the 3rd falls on a non-business day, payment may be processed on the next business day.
Payments are made using the payout details provided by the Affiliate.
Payments are subject to:

• successful order confirmation;
• applicable refund adjustments;
• completion of required payout information;
• completion of required tax documentation;
• fraud and compliance review where necessary.

The Company may reasonably delay a payment where required information is missing.
The Company may also delay payment while investigating suspicious activity.

7. PAYMENT DETAILS AND TAX DOCUMENTATION
To receive Affiliate payouts, the Affiliate must provide complete payout details.
These must be entered through the Affiliate Account or another method requested by City Lens.

The relevant section may appear as:
Affiliate Program → Affiliate → Payment Details
No payout is required until complete payment information is provided.
The Company may request additional information.
This may include:

• full legal name;
• residential or business address;
• bank details;
• business registration information;
• tax identification information;
• tax residency;
• supporting documents.

U.S. persons may be required to provide an applicable Form W-9.
Non-U.S. Affiliates may be required to provide an applicable Form W-8, including Form W-8BEN or W-8BEN-E.
Other documentation may be requested where legally required.
The Affiliate must provide accurate and current information.

8. HOW TO GET YOUR AFFILIATE LINK
After Affiliate status is activated, Promotional Offers become available.
In your Affiliate Account, go to:
Purchases → Affiliate Program → Promotional Offers
Your personal Affiliate Link will appear there.
A link may look like:
https://citylensacademy.com/en?gcao=XXXXX&gcpc=XXXXX

Where:
gcao identifies the Promotional Offer.
gcpc identifies your personal Affiliate Code.
Use your personal Affiliate Link when promoting City Lens.
You may also attach your Affiliate Code to eligible City Lens pages where Affiliate tracking is supported.
Do not manually modify tracking parameters unless instructed by City Lens.

9. HOW TO START PROMOTING
To begin:

1. Open the Promotional Offers section.
2. Copy your personal Affiliate Link.
3. Share it through your permitted marketing channels.
4. Direct your audience to the relevant City Lens page.
5. Monitor orders and commissions in your Affiliate Account.

Affiliates may promote through channels such as:

• social media;
• websites;
• blogs;
• newsletters;
• video content;
• messaging channels;
• other lawful marketing channels.

All promotion must comply with these Terms.

10. AFFILIATE STATISTICS
The Affiliate Account may provide sections including:
Summary — overall Affiliate statistics.
Referrals — users attributed to the Affiliate.
Orders — qualifying customer orders.
Commissions — commission amounts credited.
Payouts — completed payouts.
Terms — current program settings.
The Affiliate may only see orders that generate a non-zero commission.
The Affiliate Account and Program system records are used to calculate commissions.

11. REFUNDS, CANCELLATIONS, AND CHARGEBACKS
11.1. Commission is earned only on qualifying confirmed payments.
11.2. If a customer receives a full refund, the associated commission may be cancelled.
11.3. If a customer receives a partial refund, commission may be adjusted proportionally.
11.4. The same principle may apply to:

• chargebacks;
• payment reversals;
• fraudulent transactions;
• cancelled payments;
• disputed transactions.

11.5. If a commission has already been paid before an adjustment occurs, City Lens may offset the corresponding amount against future Affiliate commissions.
11.6. No commission is payable on funds that City Lens ultimately does not retain.

12. PROMOTION RULES
Affiliates must promote City Lens accurately and lawfully.
Affiliates must not:

• mislead potential customers;
• make false or deceptive statements;
• promise guaranteed income;
• promise guaranteed business results;
• misrepresent City Lens products;
• make claims unsupported by City Lens materials;
• send spam;
• use unlawful unsolicited communications;
• publish fake reviews;
• impersonate City Lens or W12;
• suggest an employment relationship with City Lens;
• conceal the commercial nature of an Affiliate relationship;
• violate advertising laws;
• violate applicable platform rules.

Affiliates must accurately describe the Digital Product.
Case studies must not be presented as guaranteed results.
Income examples must not be presented as typical guarantees.

13. AFFILIATE DISCLOSURE REQUIREMENTS
Affiliates must clearly disclose their financial relationship with City Lens.
The disclosure must be easy for the audience to notice.
It should appear close to the Affiliate recommendation or Affiliate Link.
A suitable disclosure may be:
“I may earn a commission if you purchase through my link.”
Other wording may be used.
However, it must clearly communicate the financial relationship.
The words “affiliate link” alone may not always be sufficiently clear.
The disclosure must comply with laws applying to the relevant audience.
The Affiliate remains responsible for compliance with applicable advertising rules.

14. WHO CAN BECOME AN AFFILIATE
An Affiliate may be an individual or a business entity.
Participation requires:

• Affiliate status in the City Lens system;
• acceptance of these Terms;
• valid payout information;
• compliance with applicable law.

The Company may require approval before activating Affiliate status.
The Affiliate must be legally able to enter into this relationship.
Individual Affiliates must be at least 18 years old.
The Company may decline an Affiliate application where reasonably necessary.

15. TAXES AND AFFILIATE LEGAL STATUS
The Affiliate is responsible for determining the Affiliate’s legal and tax obligations.
This includes compliance with laws in the Affiliate’s jurisdiction.
The Affiliate is responsible for:

• reporting Affiliate income;
• maintaining required registrations;
• filing applicable tax returns;
• paying applicable taxes;
• obtaining required licenses or business status.

The Company may make required tax withholdings.
It may also make deductions required by law.
The Company may report payments to tax authorities where required.
The Company may request tax forms before making payouts.
The Affiliate must provide requested tax documentation.
Failure to provide required documentation may delay a payout.
Nothing in these Terms constitutes tax advice.
Affiliates should obtain independent professional advice where necessary.

16. INDEPENDENT AFFILIATE RELATIONSHIP
Participation does not create an employment relationship.
The Affiliate acts independently.
Nothing in these Terms creates:

• employment;
• agency;
• partnership;
• joint venture;
• franchise;
• fiduciary relationship.

The Affiliate has no authority to bind the Company.
The Affiliate may not enter into agreements on behalf of City Lens.
The Affiliate may not make commitments on behalf of W12.
The Affiliate controls the Affiliate’s own promotional activities.
The Affiliate is responsible for the Affiliate’s own business expenses.

17. CITY LENS BRAND AND MARKETING MATERIALS
City Lens may provide approved promotional materials.
These may include:

• links;
• banners;
• graphics;
• videos;
• logos;
• text;
• promotional materials.

The Affiliate receives only a limited right to use approved materials.
Such use is permitted solely for participation in the Affiliate Program.
The Affiliate may not:

• claim ownership of City Lens intellectual property;
• register confusingly similar brands or domains;
• materially modify City Lens trademarks without approval;
• create misleading City Lens accounts or websites;
• represent themselves as City Lens itself.

All City Lens intellectual property remains with its respective owner.

18. FRAUD AND ABUSE
Affiliate Commission may be withheld or cancelled where there is evidence of fraud.
This may include:

• fake purchases;
• self-referrals intended to manipulate commissions;
• unauthorized payment activity;
• fabricated customers;
• manipulated tracking;
• deceptive attribution practices;
• chargeback abuse;
• other artificial commission generation.

The Company may investigate suspicious transactions.
Payment may be delayed while an investigation is ongoing.
Where fraud is confirmed, the relevant commission may be cancelled.
The Affiliate may also be removed from the Program.

19. SUSPENSION AND TERMINATION
City Lens may suspend or terminate Affiliate participation for violations.
Grounds may include:

• breach of these Terms;
• fraudulent activity;
• misleading advertising;
• spam;
• failure to make required disclosures;
• infringement of intellectual property;
• repeated customer complaints;
• violation of applicable law;
• abuse of Affiliate tracking.

The Company may remove Affiliate access where necessary.
An Affiliate may stop participating at any time.
Valid commissions already earned remain subject to:

• refunds;
• chargebacks;
• compliance review;
• tax requirements;
• these Terms.

Termination does not create entitlement to future commissions.

20. CHANGES TO COMMISSION RATES AND PROGRAM TERMS
City Lens may update the Affiliate Program.
This may include changes to:

• commission rates;
• Promotional Offers;
• referral attribution periods;
• eligible products;
• payout procedures;
• technical tracking;
• Program rules.

Current parameters are displayed in the Affiliate Account.
Changes apply prospectively unless stated otherwise.
A commission already validly earned is not retroactively reduced solely because a future commission rate changes.
Continued participation after updated Terms become effective constitutes acceptance of the updated Terms.

21. TECHNICAL TRACKING
Affiliate attribution relies on technical systems.
These may include:

• Affiliate Codes;
• URLs;
• cookies;
• Account records;
• GetCourse records;
• order records.

Tracking may be affected by circumstances outside City Lens’s control.
Examples include:

• disabled cookies;
• browser restrictions;
• ad blockers;
• deleted cookies;
• device changes;
• private browsing;
• third-party platform restrictions;
• technical errors.

The Company does not guarantee that every click will result in successful tracking.
Commission requires attribution recorded by the Affiliate Program system.
The Company may correct clear technical errors where sufficient evidence exists.

22. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, City Lens does not guarantee:

• any minimum Affiliate income;
• any number of referrals;
• any sales volume;
• any conversion rate;
• uninterrupted Affiliate tracking;
• continued availability of a particular Promotional Offer.

Affiliate results depend on many factors.
These include the Affiliate’s audience, marketing, market conditions, and customer decisions.
The Company is not responsible for indirect or consequential losses arising from Program participation.
Nothing in this section limits liability that cannot lawfully be excluded.

23. GOVERNING LAW
These Affiliate Program Terms are governed by the laws of the State of Delaware, United States.
Conflict-of-law principles are excluded where legally permitted.
The parties should first attempt to resolve disputes informally.

Subject to mandatory applicable law, unresolved disputes may be brought before a court of competent jurisdiction in Delaware.

24. ENTIRE AFFILIATE PROGRAM TERMS
These Terms govern participation in the City Lens Affiliate Program.
They apply together with applicable Promotional Offer settings.
If a specific Promotional Offer states a different commission percentage, its displayed percentage applies to that offer.
If the Affiliate Account contains updated program parameters, those parameters apply according to Section 20.
These Terms do not modify the Terms of Service governing customer purchases.
